Confidential Information

This contract references Healthy Steps Nutrition which also encompasses HSN Coaching, HSN Mentoring and Grow Your Nutrition Business.

I acknowledge that Healthy Steps Nutrition: is the exclusive owner of its Confidential Information, which includes all information regardless of its form of recording, not in the public domain, relating to:

Proprietary and financial information of Healthy Steps Nutrition: program assessment tools, client resources, recipes, and any material written by Healthy Steps Nutrition or its contractors.

All secrets, trade secrets, know-how, ideas, and processes of Healthy Steps Nutrition.

Non-Disclosure

I agree that I will not disclose any Confidential Information to any person, including any competitor of Healthy Steps Nutrition, or future employer of mine. I will not use confidential information for any purpose other than those permitted by Healthy Steps Nutrition.

I agree that I will comply with all security precautions and measures of Healthy Steps Nutrition that are intended to maintain the confidentiality of its Confidential Information and to limit its distribution to instances of a legitimate need-to-know basis that are intended to promote the best interests of the Company.
I agree that I will not make copies, summaries, or extracts of Confidential Information, nor will I remove any Confidential Information from the place of business unless authorized by Healthy Steps Nutrition.
I agree that I will not disclose any Confidential Information concerning Healthy Steps Nutrition, HSN Mentoring and HSN Coaching or its affiliated corporations which could adversely affect the organization’s image, reputation or value.
I agree that Healthy Steps Nutrition will be the sole contractor for nutrition support for the duration of this annual contract and will automatically renew for another year term unless otherwise terminated by either party.

Non-Solicitation of Employees or Contractors

I agree for a period of twelve (12) months after leaving for any reason whatsoever, not to directly or indirectly recruit, solicit, or otherwise induce or attempt to induce any employee or contractor of Healthy Steps Nutrition to terminate his or her employment or contract with the Company or otherwise to act contrary to the interests Healthy Steps Nutrition.

General Provisions Necessary protections

I acknowledge that the restrictions contained in this Agreement are necessary for the protection and goodwill of Healthy Steps Nutrition and I consider them to be reasonable for that purpose. I, therefore, agree that any breach of the terms of this Agreement is likely to cause Healthy Steps Nutrition substantial and irrevocable damage and irreparable harm. In the event of any such breach, I agree that HealthySteps Nutrition in addition to such other remedies which may be available shall be entitled to specific performance and other injunctive or marketing relief including interim or interlocutory relief if demanded.

Continuing obligations

I agree that the provisions of this Schedule shall survive the termination of my contract

Severability

In the event that any provision of this Agreement or part thereof shall be deemed void, invalid, illegal or unenforceable in whole or in part, the remaining provisions or parts shall remain in full force and effect.

Independent Legal Advice

I have been advised that I have the right to obtain legal counsel before signing this Agreement and I have obtained the level of advice I deem appropriate.

Deliverables Payment Obligations:

Barbells for Boobs is to be billed monthly for nutrition assessments. The contract will start with thirty Phase I assessments per month on the first of March. Bill will be emailed by the last day of the month. Bill is due by the 7th of each month. Any unused assessments will roll over to the next month.

The financial investment includes $135 annually per person for Phase I. Phase I includes an initial assessment. Healthy Steps Nutrition will produce a handbook once nutrition content is approved by the medical board. Healthy Steps Nutrition will send feedback surveys out within 24 hours of the initial call, after 30 days and 90 days.

If a client would like individual nutrition coaching beyond an initial assessment, they will be financially responsible for the membership fees and will work with Healthy Steps Nutrition staff separately.

Option to expand the contract to offer individual coaching will be revisited by December of 2020.

Addendum

If a client does not show up for their allotted appointment time. Barbells for Boobs will be charged for the initial appointment, cost of $135 for the initial assessment. A re-booking fee of $50 per assessment will be billed when the client rebooks.
